Policies I-VI, outlined below, are in accordance with each of our service plans.

Upon renewal of any service, all company policy updates will automatically be applied to the client’s account.

The current company policy will always be up-to-date and available on our website, www.123develop.com

 

I- Content & Image Policy

1.1 Web Design, LLC. will not publish any content that is not provided by the customer directly. We will not plagiarize any content off any website or other publication(s) for which you do not have the rights.

1.2 Web Design, LLC. will not publish any images that are not provided by the customer directly. We will not plagiarize any images off any website or other publication(s) for which you do not have the rights.

1.3 We will not be responsible for any errors in the content or images provided by the customer. Ex. Spelling errors, grammar mistakes, punctuation, etc.

1.4 Web Design, LLC. will not be responsible for any false or misleading information represented on any website.

II- Maintenance Guidelines

2.1 You will be automatically enrolled in our basic maintenance plan upon purchase of any website, unless instructed otherwise.

2.2 Hosting (which keeps your site functioning online) is included with the maintenance service. If you cancel maintenance without proper arrangements, your site will be taken down.

2.3 Maintenance will only cover minor changes. In our standard plan, you are provided up to 1 hour of maintenance per month. This does not include design changes. With our maintenance plan, we will fix minor site errors, picture changes, small additional features, and site malfunctions. We do not guarantee that these changes will be made immediately. However, the changes are typically taken care of within a 12-72 hour time frame.

2.4 Maintenance emails must be specific and directly target the problem or change. We will not be responsible for indirect support claims, nor will we take action on them.

III- Web Design

3.1 The Content & Image Policy will be upheld.

3.2 The Web Design, LLC. staff take great pride in our speedy and efficient services. If a website is not completed after 40 working hours of a design decision, due to lack of communication, failure to provide sufficient content/images, decision changes, hesitations, etc., your site will be considered complete and your service will remain active. You may incur additional fees for any further changes to the website.

3.3 Web Design, LLC. will design a custom website for the client until satisfaction is achieved. We will re-design and modify a custom website up to two times. Afterwards, there will be an additional fee of $100.

3.4 Once a design is chosen and work has begun, there will be an additional fee for last minute design changes in the amount of $50 per change. This price may vary depending on the significance of requests.

3.5 There will be an added charge for special requests to the website from the client. For example, different banners on each page, custom functions, e-commerce, etc. are subject to additional fees. This will be decided on a case-by-case basis and we must be informed of these details in advance.

3.6 You will be charged a flat base price for your website design. Other than the features that have been stated within the service, there will be an individual price for each added feature.

3.7 Web Design, LLC. can provide a hands-on lesson/demonstration on all website features upon request, at a $50/hour rate.

3.8 During the website construction, you will not have administrator access to the website. In addition, the website will not be live for the public, but can be seen by you with specified user names and passwords that will be provided to you.

3.9 A signed completion form from the client is required for each invoice once the item is completed.

3.10 You will not be given administrative access, training, maintenance, email account access, staff account access, or a published site until a completion form has been accepted.

3.11 In order to decline a completion form, a detailed explanation is required in the space provided so that we may correct the issue.

3.12 Once the website is complete, you will have two opportunities to inspect the website and request changes on the service/features that have been included on that particular invoice.

3.13 There will be a $25 charge to remove our link from your website.

3.14 We will not begin constructing the website until you have completed and provided the website analysis form to a Web Design, LLC. staff member. The form can be submitted through e-mail or through our website support. Web Design, LLC. requires a digital version of the website analysis form from the client.

3.15 Your design will never be reused for any other website or publication.

3.16 Alterations to the website are subject to charges if the client requests to re-create or re-develop the already approved design by the client. The client will be able to make changes to the agreed website until satisfactory. Any new features or design changes will be subject to charges.

3.17 An approved design is a design that is consented to by the client, either verbally or in written form. In addition, a design is approved as soon as the client requests changes to it.

3.18 Web Design, LLC. holds the right to end any client relationship at the end of the client’s payment term and does not have to renew the service.

3.19 During the time a client is in an active service agreement, if they exhibit any of the following behavior toward a Web Design, LLC. staff member or client on more than one occasion, Web Design, LLC. holds the right to terminate the service without giving a refund. These factors will be judged on a case-by-case basis and by the highest authority.

1. Profanity (verbal, written, etc.)

2. Threatening behavior in any manner

3. Stalk and/or Harass

4. Discrimination

5. Slander or Libel

3.20 If a client uses profanity towards a Web Design, LLC. staff member, the staff member may take the following actions:

1. Telephone conversations: The staff member will give one verbal warning to the client to             refrain from foul language. If the client continues after the warning, the member holds the right       to hang up the phone and end the conversation.
2. Face-to-Face Meetings: The staff member will give one verbal warning to the client to refrain      from foul language. If the client continues after the warning, he or she will be asked to leave.
3. E-mail messages: E-mails with profanity will not receive responses.

3.21 If a client misuses, steals or reproduces any work of Web Design, LLC. without proper ownership (proper ownership is explained under each service), they authorize Web Design, LLC.  to charge their account the remainder of any balances due plus a $1,000.00 misuse fee.  If funds cannot be retrieved within 48-hours, the $1,000.00 fee will be increased to $10,000.00, which is in addition to any remaining balances on the account. If Web Design, LLC must resolve this issue through legal course of action, we will ensue damages of $25,000.00, the remainder of unpaid balances and any legal fees.

3.22 Should you have any problems regarding a charge made to your credit card, you must notify us before you dispute the charge with the credit card company. We will make a good faith effort to resolve your objection. You must notify us within 30 days of the charge via email to info@123develop.com. You will need to distinguish the invoice number, dispute amount and reason for the dispute. If you do not comply with the above requirements before you file a dispute with our company or the credit card company, you breach our company policy.  We are entitled to all remaining unpaid balances prior to the service cancellation, damages in the sum of $10,000, legal fees and expenses. Good faith disputes do not include inability to pay a bill.

IV- Billing/ Payment

4.1 Accounts that are past due and have been extended past their grace period will be suspended indefinitely. For instance, the website will be taken down, search engine marketing services will be suspended, etc. when accounts are past due.

4.2 Website payment is due in full prior to website construction, unless otherwise instructed by an account specialist.

4.3 All payments must be made to Web Design, LLC. directly in the form of check, cash (if in person), credit/ debit card, or money order.

4.4 If for any reason payment cannot be made, you are expected to report this to a Web Design, LLC. representative.

4.5 It is not our responsibility to make sure payment is made on time.

4.6 All payments regardless of cancelation are non-refundable. Failure to cancel an account is not a basis for a refund. Once payment is made there will be no refunds.

4.7 Any illegal activity caused by a client with use of their website will be cause for suspension.

4.8 Payments made within excess of 5 days are considered late. Each unpaid invoice will incur a $5.00 fee per month until the invoice has been paid in full.

4.9 All invoices are auto-billed on their due dates to the specified card on file, unless otherwise noted.

V- Meetings and Sessions

5.1 It is at the clients discretion to pursue an optional informational session. This session can occur via face-to-face meeting at the Web Design, LLC. office or by phone.

5.2 Any face-to-face meeting at the client’s location of preference other than the Web Design, LLC. office will result in a $50 per hour traveling fee.

5.3 Potential clients have the ability to meet with a Web Design, LLC. representative for a one-time informational session before or at the time of sign up. This session is for one hour only.

5.4 Any additional informational sessions will incur a $50 per hour fee at a one-hour minimum. Each ending hour will have a grace period of ten minutes before the next hourly charge will incur.

5.5 Clients must give at least a 24-hour notice of cancellation before any meeting. Any current clients that act as no-shows without proper cancellation will incur a $25 fee.

VI- Copywriter Service

6.1 Professional content created and provided by Web Design, LLC. is an optional, add-on service that is not included within our standard package rate.

6.2 The client may choose to have a face-to-face meeting or phone meeting with a Web Design, LLC. professional copywriter at an hourly rate.

6.3 The copywriter meeting will include creating an outline of the content for the website. At the end of the meeting, the copywriter will present the client with a quote of the hours needed in order to complete the website’s content.

6.4 The client is entitled to receive two revisions per invoice content.

6.5 It is the client’s responsibility to ensure that all information is accurately represented throughout the content provided by the copywriter. The copywriter will not be responsible for any false or misleading information represented in any of the content written.

VII- Web Development Monthly Service

Our Monthly Web Development Service offers clients a custom-built website that does not require any contracts or design set-up fees.

7.1 Site malfunctions or website down periods will be taken care of immediately at no cost to you. If Web Design, LLC. does not notice any web malfunctions, but the client does, the client should notify a customer service representative, and the changes will be taken care of immediately.

7.2 Once a completion form has been signed and accepted, any additional changes must fall under your maintenance package (unless advised otherwise).

7.3 Although most websites are typically completed within seven business days, we cannot guarantee this, due to various reasons.

7.4 You will not have full ownership of any website created for you or your company. The website created for you may be purchased for full ownership if you desire. With our web design service, you are leasing the website, unless otherwise noted.

7.5 If enrolled in our Web Design plan, you can transfer and setup your site to a new host for a buy-out, transfer and setup fee, of $1,150.00. The buy-out, transfer, and set-up fees will grant ownership of one website on the client’s account.

7.6 The client’s service term is renewed on each service payment.

7.7 Payment must be made in full each month, unless instructed otherwise. There will be no refunds to clients who do not cancel their service at least 24 hours in advance to their next payment. Payment will be due if the cancellation has not been made.

7.8 It is the customers responsibility to make sure that they pause or cancel their account. Your account will start incurring charges as soon as we receive the website questionnaire form, regardless of whether any work has been completed or if the account is not in use. We are not responsible for customers that forget to take action on an unused account. We will not offer any refunds or credit to customers that encounter this issue.

7.9 If an account is suspended, due to failure of payment, we reserve the right to deactivate it from the Internet at anytime. However, once payment has been made in full, we will republish the website.

7.10 The client has the option to add an e-commerce function to the website for an additional one-time set-up charge. This is not the same as the E-commerce Monthly Service, as the client will not obtain ownership rights of the e-commerce function.

7.11 Web Design, LLC. does not take a percentage from any E-commerce sales transactions.

7.12 If a payment(s) cannot be retrieved by 60 days of an unpaid balance, the bill will be deemed “unpaid” and sent to a collections agency.

VIII- E-commerce Monthly Service

The E-commerce Monthly Service is our monthly ownership program that provides clients with a custom-built online web store.

8.1 Site malfunctions or website down periods will be taken care of immediately at no cost to you. If Web Design, LLC does not notice any web malfunctions, but the client does, the client should notify a customer service representative, and the changes will be taken care of immediately.

8.2 Payment must be made in full each month, unless instructed otherwise.

8.3 You will be charged a flat base price for your website design. Other than the features that have been stated within the service, there will be an individual price for each added feature.

8.4 Clients will receive full ownership of the e-commerce website after all scheduled payments are made.

8.5 Basic maintenance and hosting of the website, which is listed in section II, is included in this service at no additional cost. Once the final, scheduled payment has been made, included maintenance will terminate and can be reinstated separately.

8.6 Web Design, LLC. will establish an individualized contract with the client at the time of the sign-up of the E-commerce Monthly Service plan.

8.7 All scheduled payments agreed upon in the contract must be paid in full by their due dates.  There will be no refunds and/or cancellations on the service.

8.8 If a payment(s) cannot be retrieved by 30 days of an unpaid invoice, the client’s full, contract balance will be immediately due, plus any late penalties. Web Design, LLC. reserves the right to take any means necessary to collect unpaid balances.

8.9 If Web Design, LLC must resolve this issue through legal course of action, we will ensue damages of $25,000.00, the remainder of unpaid balances and any legal fees.

8.10 If an account is suspended, due to failure of payment, we reserve the right to deactivate it from the Internet after 25 days of suspension . However, once payment has been made in full, we will republish the website.

IX- Web Development Service

Any development project that does not classify as a Web Development Monthly Service or E-commerce Monthly Service will fall under our Web Development Service.

9.1 You will be charged a flat base price for your website design. Other than the features that have been stated within the service, there will be an individual price for each added feature.

9.2 All payments regardless of cancelation are non-refundable.

9.3 Clients with projects exceeding a $5,000.00 balance, have the option of breaking the cost into multiple segments. Each segment must be paid for in full prior to it being started.

9.4 Projects under $1,000.00 value will not be split into multiple payments, unless instructed otherwise.

9.5 When making a split payment, the first half of the balance is due immediately. The second half will be due within 30 days, or at the time the project is completed (whichever comes first).

9.6 Hosting and maintenance services are not including in the Web Development Service plan. For an additional monthly fee, these services can be added.
